1. Acceptance of Terms

Welcome to Saylance. These Terms of Use ("Terms") constitute a legal agreement between you ("User," "you," or "your") and Nixes ("Company," "we," "us," or "our") governing your use of the Saylance mobile application (the "App").

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the App.

You must be at least 18 years old or the legal age of majority in your jurisdiction to use the App. By using the App, you represent and warrant that you meet this requirement.

2. Description of Service

Saylance is a voice-driven business management application designed for freelancers, contractors, and gig economy workers. The App provides the following core features:

Voice-powered business assistant with AI-driven natural language processing
Client and contact management
Project tracking and management
Work entry logging with flexible measurement units (hours, square feet, pieces, linear feet, fixed amounts)
Expense tracking and categorization
Invoice creation and payment tracking
Financial analysis and reporting
CloudKit synchronization across your Apple devices
Multi-currency support
Data export and backup functionality

The App requires iOS 18.4 or later and is designed for iPhone devices. Certain features require microphone access and an internet connection.

3. Subscription and Payment Terms

3.1 Free Tier

Saylance offers a free tier that allows you to create up to 100 work entries and expenses combined. The free tier provides full access to all App features while within this usage limit.

The free tier does not require a subscription or payment information. Once you exceed 100 work entries and expenses, you will need to subscribe to continue adding new entries.

3.2 Monthly Subscription

Once you exceed the free tier limit, Saylance requires a monthly subscription to continue adding work entries and expenses. Subscription pricing is displayed in the App and varies by region. The subscription is an auto-renewable monthly subscription that automatically renews unless cancelled.

3.3 Payment and Billing

Subscriptions are processed through Apple's App Store using your Apple ID payment method
Payment will be charged to your Apple ID account at confirmation of purchase
Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period
Your account will be charged for renewal within 24 hours prior to the end of the current period
You can manage your subscription and turn off auto-renewal in your Apple ID Account Settings after purchase

3.4 Cancellation and Refunds

You may cancel your subscription at any time through your Apple ID Account Settings
Cancellation will take effect at the end of the current billing period; you will retain access until then
No refunds will be provided for partial subscription periods
Refund requests for App Store purchases are handled by Apple according to their refund policies

3.5 Price Changes

We reserve the right to change subscription prices at any time. Price changes will not affect your current subscription period but will apply to subsequent renewals. You will be notified of price changes in advance, and you may cancel your subscription if you do not agree to the new price.

4. User Responsibilities

4.1 Account Security

You are responsible for maintaining the security of your Apple ID and device access. You agree to notify us immediately of any unauthorized use of your account.

4.2 Accurate Information

You are responsible for ensuring that all business data you enter into the App (clients, projects, work entries, expenses, invoices) is accurate, complete, and up-to-date. We are not responsible for errors or inaccuracies in data you provide.

4.3 Compliance with Laws

You agree to use the App in compliance with all applicable local, state, national, and international laws and regulations, including but not limited to:

Tax reporting and compliance requirements
Accounting and bookkeeping standards
Client data privacy and protection laws
Business licensing and permit requirements
Invoice and billing regulations in your jurisdiction

4.4 Professional Advice

Saylance is NOT a substitute for professional accounting, tax, or legal advice. You are solely responsible for consulting with qualified professionals (accountants, tax advisors, attorneys) regarding your business obligations, tax compliance, and financial reporting requirements.

4.5 Data Backup

While the App provides CloudKit sync and backup features, you are responsible for maintaining your own backups of important business data. We recommend regularly exporting your data using the App's export features.

5. Acceptable Use Policy

You agree NOT to:

Use the App for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to the App, other users' data, or our systems
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App
Use automated systems (bots, scripts) to interact with the App in ways that abuse rate limits or system resources
Exceed the App's usage limits:
- Maximum 70 AI requests per hour
- Maximum 300 AI requests per day
- Maximum 30-second voice recording duration
- Maximum 500-character prompt length
Transmit viruses, malware, or other harmful code
Interfere with or disrupt the App's functionality or servers
Violate the intellectual property rights of the Company or third parties
Use the App to harass, abuse, or harm others
Resell, redistribute, or sublicense access to the App

Violation of this Acceptable Use Policy may result in immediate termination of your account and subscription without refund.

6. Intellectual Property Rights

6.1 Our Rights

The App, including all content, features, functionality, software, code, designs, graphics, user interface, and trademarks, is owned by Nixes and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal or business purposes in accordance with these Terms.

6.2 Your Data Ownership

You retain all ownership rights to the business data you enter into the App (clients, projects, work, expenses, invoices, etc.). By using the App, you grant us a limited license to process, store, and display your data solely for the purpose of providing the App's functionality and services to you.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the App, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the App without compensation or attribution to you.

7. Third-Party Services

The App integrates with third-party services to provide core functionality, including:

OpenRouter (LLM processing via Google Gemini and other AI models)
Apple Speech Recognition (voice-to-text conversion)
OpenAI Text-to-Speech (text-to-speech synthesis)
Mixpanel (analytics and usage tracking)
Apple CloudKit (data synchronization)
Apple StoreKit (subscription and payment processing)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, functionality, or practices of these third-party services. Changes to third-party service availability or pricing may affect the App's functionality.

8. Disclaimers and Limitations of Liability

8.1 "AS IS" Basis

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

8.2 No Accounting or Tax Advice

SAYLANCE IS NOT AN ACCOUNTING SYSTEM, TAX PREPARATION SOFTWARE, OR PROFESSIONAL ADVISORY SERVICE. The App is designed to help you track business activities and generate informative invoices, but it:

Does NOT provide accounting, tax, or legal advice
Does NOT guarantee compliance with tax laws or accounting standards
Does NOT replace professional accountants, bookkeepers, or tax advisors
Does NOT generate legally binding financial documents without your review and approval

Invoices created by the App are informative templates only. You are solely responsible for ensuring that all invoices, financial records, and tax filings comply with applicable laws and regulations in your jurisdiction.

8.3 No Guarantee of Accuracy

We do not guarantee the accuracy, completeness, or reliability of:

AI-generated responses or suggestions
Financial calculations or reports
Voice transcription accuracy
Data synchronization across devices
Third-party service integrations

You are responsible for verifying all information generated by the App before relying on it for business decisions, tax filings, or client billing.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIXES SHALL NOT BE LIABLE FOR:

Loss of profits, revenue, or business opportunities
Loss of data or information
Tax penalties, interest, or fines resulting from inaccurate data or non-compliance
Client disputes or payment collection issues
Errors, omissions, or inaccuracies in AI-generated content
Third-party service failures or interruptions
Unauthorized access to or alteration of your data
Any indirect, incidental, special, consequential, or punitive damages

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE APP SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN SUBSCRIPTION FEES DURING THE 12 MONTHS PRECEDING THE CLAIM.

8.5 No Guarantee of Availability

We do not guarantee that the App will be available at all times or that it will be free from errors, bugs, or interruptions. We reserve the right to modify, suspend, or discontinue the App (in whole or in part) at any time with or without notice.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nixes, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use or misuse of the App
Your violation of these Terms
Your violation of any applicable laws or regulations
Your business activities, client relationships, or financial practices
Inaccurate or incomplete data you provide to the App
Tax or accounting non-compliance resulting from your use of the App
Disputes with your clients regarding invoices or payments

10. Termination

10.1 Termination by You

You may terminate your use of the App at any time by:

Cancelling your subscription through your Apple ID Account Settings
Uninstalling the App from your device
Deleting all data from the App (if desired)

10.2 Termination by Us

We reserve the right to suspend or terminate your access to the App at any time, with or without notice, if:

You violate these Terms or our Acceptable Use Policy
Your subscription payment fails or is reversed
You engage in fraudulent, abusive, or illegal activity
We discontinue the App or specific features
Required by law or legal process

10.3 Effect of Termination

Upon termination:

Your right to use the App will immediately cease
You will lose access to subscription features
Data stored in CloudKit will remain in your iCloud account (you control this)
Data stored locally on your device will remain unless you delete it
No refunds will be provided for unused subscription time (except as required by law)

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of law principles.

11.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the App shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved in the courts of Sofia, Bulgaria.

11.3 Exceptions

Notwithstanding the above, you may have additional rights under consumer protection laws in your jurisdiction, and nothing in these Terms limits those statutory rights.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

Update the "Last Updated" date at the top of this page
Notify you through the App or via email (if applicable)
Require your acceptance of the new Terms if required by law

Your continued use of the App after changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the App and cancel your subscription.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nixes regarding the App and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or third-party service outages.

13.6 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country.

14. Apple App Store Terms

The following terms apply if you download the App from the Apple App Store:

These Terms are between you and Nixes only, not Apple
Apple has no obligation to provide maintenance or support for the App
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); Apple has no other warranty obligation
Apple is not responsible for addressing any claims by you or third parties relating to the App or your use of the App
Apple is a third-party beneficiary of these Terms and may enforce these Terms against you
